CasaHealth Tech Inc. d.b.a. Pocketpills Health ("CasaHealth") owns and operates a platform consisting of applications, the Sites, Content, products and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these terms of use, as revised from time to time (the "Terms").
Through the Platform, registered users ("Users", "you", or "your") may access pharmacy services ("Pharmacy Services"), nursing services ("Virtual Nursing Services"), and medical services (collectively, "Virtual Medical Services" and together with Pharmacy Services and Nursing Services, collectively, "Virtual Healthcare Services"), by persons authorized to provide such services in your province or territory (collectively, "Healthcare Professionals"). Note that the Platform is not for use by residents of Quebec. If you are a resident of Quebec, you must not use the Platform.
All references herein to "Pocketpills" or "us", "we" or "our" refer to CasaHealth, its affiliates and/or those persons who license the Pocketpills name and/or the Platform, as the context requires, including: (i) Pocketpills Inc. (the entity that owns the Pocketpills pharmacies in British Columbia; Manitoba and Nova Scotia; and (ii) 2670271 Ontario Inc. (collectively, the "Pocketpills Pharmacies" and each, a "Pocketpills Pharmacy"). The Pocketpills Pharmacy serving a User will be identified upon the User visiting www.pocketpills.com.
Note that additional terms and conditions may apply to specific services offered through the Platform ("Additional Terms"), in which case, Users will be required to agree to the Additional Terms to receive such services. Once accepted by a User, the Additional Terms will apply together with (and will not substitute) these Terms, except as expressly set out in the Additional Terms.
For the purposes of these Terms, in addition to the terms defined above, the following terms have the following meanings:
"Applicable Laws" means all current constitutions, treaties, laws, statutes, codes, ordinances, official plans, orders, decrees, rules, regulations, and by-laws, whether domestic, foreign or international of any governmental authority, and the common law, binding on, affecting, relating or applicable to any person, property or matter referred to in the context in which such word is used.
"Content" means any expression fixed in a tangible medium and includes, without limitation, ideas, text, comments, video, audio, images, graphics, designs, drawings, animations, logos, trademarks, copyrights, information, data, software, scripts, tasks, activities, and any intellectual property therein, any of which may be created, submitted, or otherwise made accessible on or through the Platform.
"including" means including without limitation.
"Nurse" means a duly licensed nurse who is authorized to, and provides, Virtual Nursing Services.
"Patient Representative" means a person who consents to act and is authorized to act on a patient's behalf in respect of the applicable Virtual Healthcare Services.
"Pharmacist" means a duly licensed pharmacist who provides Pharmacy Services.
"Physician" means a duly licenced physician who provides Virtual Medical Services.
"Pocketpills Parties" means, collectively, each of the entities comprising Pocketpills (for certainty, as such term is defined above), their affiliates, and in each case, their respective directors, officers, shareholders, employees, successors, assigns, agents, and service providers.
"Services" means all services made available through the Platform.
"Sites" means, collectively, the web address www.pocketpills.com and its related webpages, sites, subdomains, and mobile applications (including, without limitation, any mobile optimization website or mobile app).
"Virtual Care Interaction" means an interaction between a: (i) Physician and a User; or (ii) a Nurse and a User, over the Platform, or both, as the context requires.
"your Pocketpills Pharmacy" means, in respect of Users that obtain Pharmacy Services, the Pocketpills Pharmacy that services the User's jurisdiction.
To agree to these Terms and use the Platform, you must either: (i) be the age of majority in the province in which you are accessing the Platform; or (ii) possess (1) parental or legal guardian consent to do so; and (2) the legal authority to enter into a binding legal obligation. If you do not meet these requirements, or you do not agree to these Terms, you must: (i) cease using the Platform immediately; and (ii) uninstall any Content that you have installed or downloaded onto any device immediately.
These Terms were last updated as of the date first referenced above. We reserve the right, acting in our sole discretion and at any time, to revise these Terms. We will give you notice of such revisions by posting the revisions to the Site. It is your responsibility to ensure that you are aware of the current Terms when you access or use the Platform. If you continue to access or use any part of the Platform after any revisions to these Terms are posted, you will be deemed to have accepted the Terms (as revised).
Without limiting any other term hereof, we reserve the right, acting in our sole discretion and with or without prior notice to you, to do any of the following: (i) modify, suspend or terminate operation of, or access to, any portion, features or functions of the Platform, including, hours of availability, geographical availability and applicable policies or terms; (ii) make changes to the equipment, hardware or software required to use and access the Platform; and/or (iii) update, modify, patch or discontinue any aspect of the Platform.
While CasaHealth connects Users with the Pocketpills Pharmacies and Healthcare Professionals, it is not a licensed pharmacy nor does it provide any regulated healthcare services. While each of the corporate entities that constitute the Pocketpills Pharmacies hold a licence / certificate to own and operate a pharmacy from a provincial health college that regulates pharmacies in their jurisdiction (each, a "Pharmacy College"), the entities themselves are not Healthcare Professionals.
The information provided on the Sites (i.e., information not provided by Healthcare Professionals) is for informational purposes only and is not a substitute for professional health care.
Prescriptions may only be filled if they comply with all Applicable Laws and rules of the Pharmacy College, including those that pertain to the dispensing of narcotics, controlled and targeted substances. For more information regarding the availability of delivery of such medications, please contact your Pocketpills Pharmacy directly.
In using the Pharmacy Services, you will also be given various options for how to get your prescription to your Pocketpills Pharmacy. The preferred method of receiving prescriptions is via fax directly from your healthcare provider's office.
Before any prescription is released for shipping, a Pharmacist from your Pocketpills Pharmacy will be in contact with you to discuss your medication. If you have a clinical question, you can privately consult with a pharmacist by calling your Pocketpills Pharmacy during the posted hours of operation.
You agree that any prescription medication obtained through the Platform is for your personal use only.
You acknowledge that certain medications prescribed by your physician or nurse may be required by the applicable Pharmacy College to be compounded by a compounding pharmacy. To prepare these compounded prescriptions and for this sole purpose, you authorize your Pocketpills Pharmacy to disclose your personal health information to a partner compounding pharmacy.
If you have refills of your medications at another pharmacy, submit a transfer request of your prescription from the other pharmacy to your Pocketpills Pharmacy via the Platform or by telephone.
When your prescription is due for a refill, your Pocketpills Pharmacy will notify you by phone or secure electronic communication based on the preference you indicated when you created an account to access the Platform (an "Account"). When you receive a refill notification, access the Platform and you will be shown how much medication you have left on your prescription and be given the option to refill your prescription, which will be shipped to you directly. When you are running out of refills, with your consent, your Pocketpills Pharmacy may contact your doctor or healthcare professional (when available) to get a new prescription. Your Pocketpills Pharmacy will notify you promptly if it runs into any issues with renewal.
A pharmacy is required to dispense medication in a child-resistant container unless the User has signed a waiver or verbally requested a non-safety vial or container or where a child-resistant container is not suitable due to the physical nature of the pharmaceutical. WHERE – FOR A REASON OUTLINED IN THIS SECTION – A CHILD-RESITANT CONTAINER IS NOT USED, YOU ARE FULLY RESPONSIBLE FOR EMPLOYING THE NECESSARY SAFEGUARDS TO ENSURE THE MEDICATION REMAINS OUT OF THE REACH OF CHILDREN.
To access and use certain features of the Platform, you will be required to have an Account. To create an Account, you must provide certain personal information (e.g., your name, contact information, date of birth, health card information, medical history, insurance or other payment information, selected user name and password (collectively, the "Login Information"). This Login Information will be retained and used by us in accordance with the Privacy Policy.
PLEASE NOTE THAT A USER'S JUSISDICTION: (I) OF RESIDENCE; AND (II) IN WHICH THEY ARE PHYSICIALLY PRESENT AT THE TIME THEY RECEIVE THE HEALTHCARE SERVICE, MAY AFFECT THE USER'S ABILITY TO RECEIVE HEALTHCARE SERVICES OR WHETHER THE HEALTHCARE SERVICES ARE INSURED BY THE USER'S PROVINCIAL OR TERRITORIAL HEALTH INSURANCE PLAN (IN WHICH CASE, IT WILL BE AN "INSURED SERVICE"), AND THUS, IT IS CRITICAL THAT THE USER ENSURES THAT THEIR JURISDICTION REMAINS ACCURATE IN THEIR LOGIN INFORMATION.
Users will also be required to specify the purpose for which they are requesting a Virtual Care Interaction each time they request an appointment on the Platform. The purpose for which you request a Virtual Care Interaction will determine if a Virtual Care Interaction is: (i) appropriate; (ii) provided by a Physician or a Nurse; and (iii) an Insured Service. By accessing the Platform for a Virtual Care Interaction, you represent and warrant to Pocketpills and the Physician or Nurse involved in the Virtual Care Interaction, that:
Please note that a single Account will permit Users to access all Virtual Healthcare Services, and Users should only create a single Account. A User's Login Information will be used by Pocketpills, and Healthcare Professionals, and, to the extent permitted by Applicable Laws, their agents and service providers, to provide any Services, including Virtual Healthcare Services, requested by the User.
You are responsible for protecting the confidentiality of your Login Information, and for restricting access to your computer, device or media system platform, and you agree to accept responsibility for all activities that occur under your Account. You are not permitted to share your Account(s) or Login Information or to allow any other person to access your Account(s) and are responsible for all activity under your Account. You agree to notify us immediately if you suspect or become aware of any unauthorized use of your Login Information or your Account(s), or any other security breach involving your Account(s) or the Platform at support@pocketpills.com. We are not responsible for any unauthorized access of your Account(s) or Login Information even if you have advised us of such.
Each time that you log into and access an Account, you represent and warrant that: (i) you are the person who registered the Account; (ii) your Login Information is current, complete, and accurate; (iii) you are accessing the Platform and using the Services solely for lawful purposes and in strict compliance with these Terms; (iv) you are accessing the Services solely for your own personal, non-commercial purposes; (v) you are not, and are not acting on behalf of, any competitor or prospective competitor of Pocketpills or its affiliates or subsidiaries; (vi) you are not accessing the Platform or Services for the purposes of any dispute or litigation involving Pocketpills; and (vii) you are not accessing the Site or Services for any illegal purpose or to advertise, solicit, or communicate with other users for any commercial purpose.
A User may add a family member or caregiver to their Account as a Patient Representative for the purpose of that Patient Representative managing the User's prescriptions and Services on the User's behalf. Any person who adds a Patient Representative is responsible for ensuring that their contact information is current, complete, and accurate. A Patient Representative will be contacted and asked to provide their consent to be a Patient Representative. A Patient Representative must not be a minor. After this process is completed, a Patient Representative will have the ability to manage prescriptions and Services as an additional User to the Account to which they have been added. Therefore, the act of adding a Patient Representative to an Account constitutes deemed consent for that individual to access the Account, including to manage prescriptions and Services on behalf of the User for which the person has been added Patient Representative.
Alternatively, a User may designate another User in respect of which they are a Patient Representative as their caregiver ("User Care Receiver"). By adding a User Care Receiver to your Account, you are deemed to consent to being a Patient Representative for that User. If the User Care Receiver is the age of majority, you will be required to provide their basic contact information, and to ensure that such information is and remains current, complete and accurate. In this case, the User Care Receiver will then be contacted and asked to provide their consent for you to be their Patient Representative. After this process is completed, you the Patient Representative will have the ability to manage the User Care Receiver's prescriptions and Services through the Patient Representative's Account.
Pocketpills may monitor, terminate or suspend your Account or your access to the Platform at any time. Pocketpills may immediately, and without prior notice or liability, terminate your ability to access any of the Services or portions thereof for any reason. Upon termination of your access to the Platform or portions thereof for any reason, you must cease use of your Account(s), cease accessing the Platform and promptly destroy all electronic and other copies of all Content, including all related documentation.
Following any suspension of Services or termination of your Account, upon request, but subject to Applicable Laws: (i) if applicable, your Pocketpills Pharmacy will transfer your prescription to a pharmacy of your choosing. Your Pocketpills Pharmacy will ensure that continuity of care is provided in such a case; and (ii) if applicable, Pocketpills or your Healthcare Professional (dependent on your jurisdiction, as noted in our Privacy Policy), will transfer your medical records to another healthcare professional of your choosing. Users may be charged a fee for any such transfer of their medical records to the extent permitted by Applicable Laws.
You agree and acknowledge that suspending or terminating your use of the Platform and/or our receipt of monetary damages may not be an adequate remedy for any violation of these Terms by you and, without limiting any of Pocketpills' other remedies, you hereby consent to, and authorize Pocketpills to obtain, an injunction or other equitable relief from any court of competent jurisdiction. You further authorize Pocketpills to disclose your personally identifiable information where reasonably necessary in connection with the foregoing.
You acknowledge and agree that Pocketpills is not responsible for ensuring that your device's software is compatible with, or will allow you to use or access, the Platform.
If you download our applications from a third-party marketplace or mobile app store (the "App Provider"), you acknowledge and agree that: (i) the Terms are an agreement between us, and not with the App Provider; as between Pocketpills and the App Provider, Pocketpills is solely responsible for the applications; (ii) the App Provider has no obligation to provide any maintenance and support services with respect to the applications; (iii) in the event of any failure of the applications to conform to any applicable warranty, (1) you may notify the App Provider and the App Provider may refund the purchase price for the applications to you (if applicable), (2) to the maximum extent permitted by Applicable Laws, the App Provider will have no other warranty obligation whatsoever with respect to the applications, and (3) any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be, as between Pocketpills and the App Provider, Pocketpills' responsibility; (iv) the App Provider is not responsible for addressing any claims you have relating to the applications or your possession and use of the applications; (v) if a third-party claims that an application infringes another party's intellectual property rights, as between the App Provider and Pocketpills, Pocketpills will be responsible for the investigation, defence, settlement and discharge of any such intellectual property infringement claim to the extent required by these Terms; (vi) the App Provider and its subsidiaries are third-party beneficiaries of these Terms as it relates to your license to the applications and, upon your acceptance of these Terms, the App Provider will have the right (and will be deemed to have accepted the right) to enforce these Terms as related to your license of the applications against you as a third-party beneficiary thereof; and (viii) you must also comply with all applicable third-party terms of service when using the applications.
We hereby grant you a personal, non-exclusive, non-transferable, non-sub-licensable, revocable license to use our applications downloaded directly from a legitimate App Provider, solely in object code format and solely for purposes that comply with Applicable Laws. With respect to any open source or third-party code that may be incorporated in the applications, such open source code is covered by the applicable open source or third-party end user license agreement, if any, authorizing use of such code.
Subject to your strict compliance with these Terms, Pocketpills hereby grants you a limited, revocable, non-exclusive, personal, non-transferable license, without the right to sublicense, to access and use the Platform on a single computer, mobile device or media platform and for your personal use only (the "Licence"). The Licence shall commence on the date of your acceptance of these Terms and shall end on the earlier of your or Pocketpills' suspension or termination of your Account. Your Licence shall terminate immediately, automatically, and without notice if you attempt to circumvent any technical protection measures used in connection with the Platform or you otherwise breach these Terms.
Users will be limited to a single health issue per Virtual Care Interaction. Patients who have multiple health issues must request multiple Virtual Care Interactions.
If a Virtual Care Interaction is an Insured Service, there will be no charge to the User. If the Virtual Care Interaction is not an Insured Service ("Uninsured Service"), then the User will be responsible for paying for the Virtual Care Interaction.
Note that while Pocketpills will accept payment for Uninsured Services, it may – dependent on the User's jurisdiction – be doing so as an agent of the Physician or Nurse who is providing the Uninsured Service.
In no case will Users be required to pay Physicians or Nurses directly for any Virtual Care Interaction, whether it is an Insured Service or an Uninsured Service. Users should notify us by emailing legal@pocketpills.com if a Physician or Nurse (or any person other than Pocketpills) requests any payment directly from the User.
Your Pocketpills Pharmacy will send you an invoice for each transaction including the cost of your prescription and any over-the-counter medications. Payments for orders will be processed following the consultation stage with Pharmacists at your Pocketpills Pharmacy, when the order has reached the order prep stage, unless a different arrangement is specifically requested by the you and agreed to by your Pocketpills Pharmacy. You will be provided with a receipt for each prescription dispensed. Prior to any shipment to you of a prescription, an electronic communication will be sent to you.
For those prescriptions that are not automatically covered by standard benefits and in respect of which a User's healthcare professional has requested government or insurance coverage, Users are advised to contact their insurance provider and have their healthcare professional complete the required form provided by the insurer.
Pocketpills Pharmacies, through a third-party payment processor, accept all major credit cards as payment for Pharmacy Services and Uninsured Services.
When you make a purchase or your Patient Representative makes a purchase on your behalf from a Pocketpills Pharmacy, you or your Patient Representative must designate and provide information about your preferred payment method, including your insurance information and applicable credit card information for any copayment ("Payment Method"). When you provide any Payment Method to a Pocketpills Pharmacy, you represent that you are the authorized user of that Payment Method. The initial claim will be directed to your drug plan first and to a spouse's insurance plan second. You should submit claims for dependent children first to the plan of the spouse whose birth date is earliest in the year.
You hereby expressly authorize your Pocketpills Pharmacy to collect from your Payment Method the appropriate fees charged for the purchases you or your Patient Representative elect to make. All fees due for purchases are payable at the time of purchase and will be billed automatically to the Payment Method when the purchase is made.
To the maximum extent permitted by Applicable Laws, we may change the fee we charge for products or Services at any time.
You acknowledge and agree that only an adult (a person who has attained the age of majority in their local jurisdiction) can enter into and complete a transaction involving the payment of actual money. You agree to abide by the terms and conditions applicable to your Payment Method. Pocketpills (in the case of any Pharmacy Services, your Pocketpills Pharmacy), or its approved third-party payment provider or processor, will automatically charge your Payment Method, plus any applicable taxes we are required to collect, where you authorize us to do so. YOU ARE FULLY LIABLE FOR ALL CHARGES TO YOUR PAYMENT ACCOUNT(S). YOU UNDERSTAND AND AGREE THAT ONCE YOU AUTHORIZE US OR OUR APPROVED PAYMENT PROVIDER OR PROCESSOR TO CHARGE YOUR PAYMENT ACCOUNT(S) OR THE ASSOCIATED CREDIT CARD FOR A CERTAIN AMOUNT, SUCH AMOUNT IS NOT REFUNDABLE IN WHOLE OR IN PART AND UNDER ANY CIRCUMSTANCES. INCLUDING, WITHOUT LIMITATION, UPON TERMINATION OR SUSPENSION OF YOUR ACCOUNT(S) FOR ANY REASON, TERMINATION OF THESE TERMS OF USE OR INTERRUPTION OR DISCONTINUATION OF THE SITE, SOME OR ALL OF THE CONTENT OR SERVICES. In all cases, your order will represent your offer to Pocketpills to acquire the product or service ordered, which offer will be deemed to have been accepted by Pocketpills when we charge your Payment Method.
Content displayed on or through our Platform is protected by copyright as a collective work and/or compilation, pursuant to copyrights laws, and international conventions. Any reproduction, modification, creation of derivative works from or redistribution of our Platform or the collective work, and/or copying or reproducing our Platform or any portion thereof to any other server or location for further reproduction or redistribution is prohibited.
You further agree not to reproduce, duplicate, or copy Content, and agree to abide by any and all copyright notices displayed on our Platform. For greater certainty, the use of the Content on any other website, including by linking or framing, or the mirroring of the Content on any other server, is prohibited.
You may not decompile or disassemble, reverse engineer, or otherwise attempt to discover any source code contained in our Platform. Without limiting the foregoing, you agree not to reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes, any aspect of our Platform.
Our Platform may offer access to third party websites and content available over the Internet. Pocketpills generally exercises no control over such third-party websites and content. You agree that it is your responsibility to review and evaluate any such content, and that all risk associated with the use of, or reliance on, such content rests with you. You are responsible for viewing, accepting and abiding by the terms of use and privacy policies posted at these third-party websites. Inclusion of a link to third party content does not imply endorsement by Pocketpills of such content. You further agree that none of the Pocketpills Parties shall be liable, directly or indirectly, in any way for any loss or damage of any kind incurred because of, or in connection with your use of, or reliance on, any third-party websites or content.
OUR PLATFORM (INCLUDING ITS CONTENT) IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
Pocketpills does not warrant the accuracy or completeness of the Content.
YOU ACKNOWLEDGE THAT ANY USE OF OR RELIANCE ON THIS PLATFORM OR SERVICES RECEIVED THROUGH THIS PLATFORM IS COMPLETELY AT YOUR OWN RISK. None of the Pocketpills Parties shall be liable for any direct, special, indirect, incidental, or consequential damages, including without limitation, lost revenues or lost profits, which may result from your use or reliance on the Platform or any of the Virtual Healthcare Services.
You agree to indemnify and hold each of the Pocketpills Parties harmless from any claim or demand, including (without limitation) reasonable legal fees and court costs, made by any third party (including any other User) due to or arising out of your use of our Platform, your violation of these Terms, your breach of any of the representations and warranties herein, or your violation of any rights of another person.
Pocketpills is committed to respecting your privacy. We collect, use, and disclose your personal information in accordance with our privacy policy, which outlines the terms and conditions of how we collect and use your personal information.
These Terms constitute the entire agreement between you and Pocketpills regarding your use of our Platform, superseding any prior agreements between you Pocketpills. These Terms and the relationship between you and Pocketpills shall be governed by the laws of the Province of British Columbia (and the federal laws of Canada applicable therein) without regard to its conflict of law provisions. You and Pocketpills agree to submit to the non-exclusive jurisdiction of the courts located in Surrey, British Columbia (or, in the event that a court in Surrey will not hear the matter, Vancouver, British Columbia).
The failure of Pocketpills to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.
You may not assign any of your rights and obligations under these Terms. These Terms will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and permitted assigns.
Pocketpills will not be liable for, or be considered to be in breach of or default under these Terms on account of, any delay or failure to perform as required by these Terms as a result of events beyond the reasonable control of Pocketpills, including without limiting the foregoing where the delay or failure is due to fires or fire-related hazards, explosions, power outages or interruptions, brownouts, internet service provider failure or delay, cyber-attacks, server downtime, loss of servers, earthquakes, floods, spills, epidemics, acts of God, war or acts of war, acts of terrorism, riots, strikes, lockouts or other labour or contractor actions, acts of public authorities, or delays or defaults caused by common carriers, or other similar events which cannot reasonably be foreseen or provided against.
Any notices or other communications permitted or required hereunder, including but not limited to modifications to these Terms or any policy or guarantee referred to herein, will be in writing and given by Pocketpills (i) via email (in each case to the email address provided by you for your Account(s)) or (ii) by posting to the Site. Notice delivered by email will be deemed to have been received on the date on which such notice is transmitted. Notices to be provided hereunder to any of the entities comprising Pocketpills should be made via email to legal@pocketpills.com.
The provisions of these Terms which require or contemplate performance after the expiration or termination of these Terms shall remain enforceable notwithstanding such expiration or termination.
